INVOICE BRIDGE

Version 2026-11-07.1 · November 7, 2026

Invoice Bridge service terms

Provider, business use, and agreement

Invoice Bridge is provided by Robert Collie, operating as Fortylights, in Texas, United States. Contact rob@fortylights.com. “You” means the business or organization that connects its accounts through an authorized representative. The service is offered for business use.

An authorized administrator must review these terms and the Data Processing Addendum, acknowledge the Privacy Notice, and select the acceptance button before activating paid service or creating new invoices. The administrator confirms authority to bind the organization and authorize its users. We record the workspace, verified administrator identifier, time, document version, and document hashes. Download or print the documents and receipt. Platform authorization alone does not replace acceptance.

These terms apply to the organization's authorized use after acceptance. Its staff must follow them and its invoice rules. If you do not accept, do not activate the service. Cancellation, disconnection, applicable data rights, and permitted reconciliation of existing payments remain available. Sandbox acknowledgments do not create a commercial agreement.

Service and third-party platforms

Each workspace connects one Shopify store and one Pipedrive company. Invoice Bridge prepares invoices from deal products, attaches invoice and payment history, matches paid web purchases, creates follow-up tasks, and supports separate deposit and balance invoices. This release supports USD. Up to 50 product lines per invoice, with quantities of up to 10,000 units per line. Currency conversion, bundles, and multiple stores connected to the same Pipedrive company are outside this release.

Shopify provides checkout and payment processing. Pipedrive provides the CRM. Their availability, charges, agreements, and processing are separate. Invoice Bridge is an independent integration, not a product or endorsement of either platform.

Your responsibility for data and transactions

You retain ownership of your data. You must have the authority, lawful basis, notices, and permissions needed to submit it and give processing instructions. You permit Fortylights and its disclosed service providers to process it as needed to provide the service, follow lawful instructions, and meet legal duties. We do not acquire ownership of your customer records.

Your team must verify customer matches, recipient addresses, products, quantities, prices, discounts, tax treatment, exemption evidence, shipping, payment status, refunds, and fulfillment. Review invoices before sending. Approval covers the reviewed version and does not send it automatically. You remain responsible for sales, accounting, taxes, goods, returns, customer disputes, and regulatory duties that apply to your business.

Keep suitable source records and backups in your own systems. Invoice Bridge is not your accounting system or sole transaction record. Reconcile important results against Shopify and Pipedrive. Stop and investigate uncertain sends, payments, stock movements, or duplicate warnings before retrying. Do not ship from a payment-only order or charge a buyer again because an update is delayed.

Protect accounts and credentials, give staff suitable access, and report suspected misuse. Do not submit card numbers, security codes, passwords, government identification, health records, or unrelated sensitive data. Optional tax certificates should contain only information needed for the sale.

Security and service limits

We use reasonable safeguards described in the Privacy Notice and Data Processing Addendum. No system eliminates every security risk, interruption, delay, data error, or unauthorized act. Incorrect source data, account access, settings, and third-party changes can affect results. This does not remove our duties under the addendum or applicable law.

Sent means the mail service accepted an invoice. It does not guarantee inbox placement, receipt, opening, or payment. App notices and assigned CRM tasks are separate from email or push delivery. Updates follow the deployed worker schedule. A deal marked Won under a deposit rule can still have an unpaid balance and goods that cannot yet be shipped.

Charges, cancellation, and refunds

The standard plan is $20 USD every 30 days or $220 USD per year per connected store and Pipedrive company. All authorized users are included. Shopify shows the trial and renewal terms before approval. Shopify presents and collects approved app charges. Platform subscriptions, applicable taxes, and payment-processing charges are separate. Development TEST subscriptions are non-billable.

Cancel through Invoice Bridge or Shopify before renewal and check the displayed result. Cancellation does not itself refund a used period, cancel customer invoices, reverse source transactions, or release every reservation. The Refund Policy governs app-charge requests, subject to mandatory law and platform rules. We will give at least 30 days' notice of a material price change and obtain new Shopify approval where required. Accepting revised service terms does not approve a new charge.

WARRANTY DISCLAIMER

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” FORTYLIGHTS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE, PERFECT CUSTOMER MATCHING, TAX OR ACCOUNTING COMPLIANCE, EMAIL RECEIPT, OR A PARTICULAR SALES RESULT. NO STATEMENT EXCLUDES A WARRANTY OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, FORTYLIGHTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL; OR LOSS OF USE OR DATA ARISING FROM THE SERVICE, EVEN IF ADVISED THAT SUCH LOSS IS POSSIBLE.

SUBJECT TO THE EXCEPTIONS BELOW, FORTYLIGHTS' TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF US $100 OR THE APP FEES YOU ACTUALLY PAID TO FORTYLIGHTS FOR THE AFFECTED WORKSPACE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS IS ONE AGGREGATE LIMIT, NOT A NEW LIMIT FOR EACH CLAIM OR LEGAL THEORY.

These exclusions and limits apply only where lawful. They do not limit liability for fraud, willful misconduct, gross negligence, or a duty, right, remedy, or liability the law does not allow the parties to exclude or limit. Nothing waives a regulator's authority, protected privacy rights, or non-waivable consumer protections. If a limit is unenforceable, liability is limited only to the extent permitted by law.

Third-party claims caused by your use

To the extent permitted by law, you will defend and indemnify Fortylights against third-party claims, damages, and reasonable defense costs caused by your unlawful data or instructions, lack of required authority or consent, infringement in material you supply, or misuse in breach of these terms. This does not cover a claim to the extent caused by Fortylights' breach, negligence, fraud, or willful misconduct. We must give prompt notice, reasonable cooperation, and reasonable control of the defense. A settlement cannot admit our fault, impose a non-monetary obligation, or fail to release us without our written consent.

Informal dispute resolution

First send a written concern to rob@fortylights.com with the workspace, relevant events, requested resolution, and a way to reach you. Do not send customer data or credentials unless a secure method is agreed. Both sides will try in good faith to resolve it for 30 days after receipt. This does not bar urgent relief, regulatory complaints, small claims, or action needed to protect a deadline or a right that cannot be restricted.

INDIVIDUAL ARBITRATION AND OPT-OUT

EXCEPT AS STATED BELOW, YOU AND FORTYLIGHTS AGREE TO RESOLVE DISPUTES ARISING FROM THESE TERMS OR THE SERVICE THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF A COURT TRIAL. THE FEDERAL ARBITRATION ACT GOVERNS THIS AGREEMENT. THE AMERICAN ARBITRATION ASSOCIATION WILL ADMINISTER THE CASE UNDER ITS APPLICABLE COMMERCIAL RULES, OR ITS CONSUMER RULES WHERE REQUIRED, BEFORE ONE NEUTRAL ARBITRATOR. THE ARBITRATOR MAY AWARD RELIEF AVAILABLE UNDER APPLICABLE LAW, AND A COURT WITH JURISDICTION MAY ENTER JUDGMENT ON THE AWARD.

Hearings will use video or documents unless the applicable law, rules, or parties require otherwise. A physical location must be reasonably convenient. Fees follow applicable law and AAA rules. Fortylights will pay fees the law requires it to pay. Rules and fees are available at adr.org. Arbitration is not promised to be free.

Either side may use a court with jurisdiction for an eligible individual small-claims case, temporary relief needed to protect rights while arbitration proceeds, enforcement of an award, or a claim the law does not permit to be arbitrated. You may contact regulators and exercise non-waivable statutory rights.

YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AFTER FIRST ACCEPTING THESE TERMS. Email rob@fortylights.com with the subject “Arbitration opt-out,” your business name, workspace, representative's name, and acceptance date. Keep the sending record. Opting out does not change the service or price. The other terms still apply. If this arbitration agreement is invalid, or you opt out, claims may be brought in a court with jurisdiction.

TO THE EXTENT PERMITTED BY LAW, COVERED ARBITRATIONS WILL BE INDIVIDUAL PROCEEDINGS. A CLASS OR REPRESENTATIVE ARBITRATION REQUIRES BOTH PARTIES' CONSENT. If this restriction is unenforceable for a claim, that claim may proceed in court; the remaining agreement continues where lawful. This section is not a promise never to sue and does not remove non-waivable rights. A court decides formation and any issue reserved to it by law.

Suspension, termination, and changes

We may suspend access reasonably needed to address misuse, a security problem, unpaid charges, a platform restriction, or a legal requirement. Where practical and lawful, we will give notice and an opportunity to correct it. You may stop using and disconnect the service. If we end paid service without your breach, we will review a refund of the unused affected period, subject to platform procedures and mandatory law.

Review unpaid invoices, reservations, goods orders, and privacy requests before uninstalling. Removal does not cancel every source transaction or delete platform records. App-held data follows the accepted Privacy Notice and Data Processing Addendum.

We will give notice of material terms changes and require an authorized administrator to accept before new paid service or invoice actions under the revised version. A new arbitration provision does not apply retroactively to a dispute already notified. Cancellation, privacy, and permitted reconciliation of existing payments remain available.

General terms

Texas law governs except where federal or mandatory local law applies. These terms, the accepted Data Processing Addendum, and an agreed order form govern the service. The addendum controls conflicts about personal-data processing. Mandatory transfer instruments control the transfers they cover. Platform agreements remain separate. An unenforceable provision is severed only where lawful. Failure to enforce once is not a waiver. Assignment cannot evade the other party's rights. Events outside reasonable control may delay performance but do not excuse mandatory duties or obligations already due.
